These Terms & Conditions (“Terms”) are a legally binding agreement between you and Mobility Stock Inc. (“Mobility Stock,” “we,” “us,” or “our”) and govern your access to and use of the Mobility Stock Platform (the “Platform”).
By accessing or using the Platform, creating an account, placing an Order, submitting a Rental Reservation or Service Request, or otherwise using the services made available through the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms and the applicable policies incorporated into these Terms by reference.
Where the Platform presents a checkbox, button, or other affirmative acceptance mechanism in connection with account creation, checkout, or submission of a Rental Reservation or Service Request, you must affirmatively accept these Terms, and any applicable Participating Store terms presented to you, before proceeding. Mobility Stock may maintain records of your acceptance, including the date, time, and version of the terms accepted.
If you access or use the Platform on behalf of a corporation, partnership, limited liability company, governmental entity, or other legal entity, you represent and warrant that you have authority to bind that entity to these Terms. In that event, references to “you” and “your” include both you and the entity on whose behalf you are acting.
If you do not agree to these Terms, you must not access or use the Platform.
To access certain features of the Platform or complete transactions through the Platform, you must be at least eighteen (18) years of age and have the legal capacity to enter into a binding agreement.
By using the Platform, you represent and warrant that you satisfy these eligibility requirements and that your use of the Platform does not violate applicable law.
The Platform is intended for use only in jurisdictions where its operation and use are permitted by applicable law.
Mobility Stock may modify these Terms from time to time to reflect changes in applicable law, Platform functionality, business operations, security requirements, industry practices, or other legitimate business needs.
When material changes are made, Mobility Stock will update the “Effective Date” appearing at the beginning of these Terms and, where required by applicable law, provide additional notice through the Platform or by other reasonable means.
Where practicable, Mobility Stock will post material changes to the Terms, the Cookie Policies, Returns and Refund Policy, and Shipping & Delivery Policy at least thirty (30) days before they take effect, except that changes required by applicable law or reasonably necessary to address security, fraud, or safety concerns may take effect immediately.
Unless otherwise required by applicable law, revised Terms apply prospectively and do not alter the terms governing a transaction completed before the revised Terms became effective.
Your continued use of the Platform after revised Terms become effective constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must discontinue your use of the Platform.
The applicable policies and transaction-specific terms are incorporated into these Terms by reference to the extent they apply to your use of the Platform or a particular transaction.
Each Participating Store may establish its own terms and conditions governing equipment rentals and services offered by that Participating Store through the Platform. Rental terms may include requirements relating to reservations, rental periods, deposits, equipment use, damage, loss, late returns, extensions, pickup, delivery, and other rental-specific matters. Service terms may include requirements relating to scheduling, estimates, approvals, parts, labor, service charges, warranties, cancellations, and other service-specific matters.
Before submitting a Product Order, Rental Reservation, or Service Request, you will be required to affirmatively confirm that you agree to (a) these Terms and the policies incorporated into these Terms by reference, and (b) any terms of sale, Rental Terms, Service Terms, or other transaction-specific terms established by the applicable Participating Store and made available to you before submission. Customers are responsible for reviewing the applicable terms before providing that confirmation.
The terms and conditions established by a Participating Store govern the specific rental or service transaction to which they apply. In the event of a conflict among these Terms, an incorporated policy, and a transaction-specific term, the following order of precedence applies, in descending order: (a) these Terms; (b) the Privacy Policy, Cookie Policy, Returns & Refund Policy, and Shipping & Delivery Policy; (c) terms of sale, Rental Terms, Service Terms, and other transaction-specific terms established by a Participating Store; and (d) Product listings, FAQs, and other informational content made available through the Platform.
Notwithstanding the foregoing, a more specific provision of an incorporated Mobility Stock policy controls over a general provision of these Terms solely with respect to the subject matter it expressly governs. No policy or terms established by a Participating Store may modify Mobility Stock’s rights or obligations under these Terms, or reduce a Customer right provided by a Mobility Stock policy, without Mobility Stock’s express written agreement.
Mobility Stock operates an online technology platform that enables Customers to discover and compare mobility-related Products and to purchase Products, submit Rental Reservations, request services, and access other mobility-related offerings made available through the Platform.
Products available through the Platform may be offered by Participating Stores or, where expressly identified, directly by Mobility Stock through Mobility Stock Direct. Rentals and services available through the Platform are offered by Participating Stores.
The Platform provides the technology and marketplace infrastructure through which Customers and Participating Stores may interact and conduct transactions.
Except for Products sold through Mobility Stock Direct, Mobility Stock acts solely as a technology and marketplace facilitator. Mobility Stock does not manufacture, design, fit, configure, prescribe, or take title to Products sold by Participating Stores, and it is not the seller, rental provider, or service provider for any transaction with a Participating Store.
Participating Stores are independent businesses authorized to offer Products, rentals, services, and other mobility-related offerings through the Platform.
Participating Stores operate independently from Mobility Stock and are responsible for their own business operations and for the Products and services they offer, including, as applicable, pricing, inventory, Order fulfillment, customer support, rentals, repairs, maintenance, installations, warranties, and other store-provided services.
Participation in the Platform does not create a partnership, joint venture, franchise, employment, fiduciary, or agency relationship between Mobility Stock and a Participating Store, except to the limited extent expressly stated in these Terms or otherwise agreed in writing.
Participating Stores may maintain Store Pages within the Platform through which they present information about their businesses and the Products, rentals, services, and other offerings they make available. Store Pages may include store-specific pricing, inventory, business information, operating hours, delivery or service areas, Used Products, rental offerings, repair and maintenance services, installation services, promotions, educational content, policies, and other store-specific information.
Store-specific content is provided by or on behalf of the applicable Participating Store, except for Product information or other Platform content maintained by Mobility Stock. The Participating Store is responsible for the accuracy of the store-specific information and content it provides through its Store Pages.
From time to time, certain Products may be expressly identified as being offered directly by Mobility Stock (“Mobility Stock Direct”).
When a Product is expressly offered through Mobility Stock Direct, Mobility Stock is the seller for that Product Order and assumes the seller responsibilities applicable to that Product Order under the Terms described herein. The availability of Mobility Stock Direct Products may vary by Product, location, inventory, or other applicable requirements.
Equipment rentals, repair and maintenance services, installations, inspections, delivery-related services, and other services made available through the Platform are offered and performed by Participating Stores. The Participating Store providing the rental or service is responsible for the availability, pricing, scheduling, performance, customer support, and other obligations associated with that rental or service.
Each Participating Store may establish its own terms and conditions for its rental and service departments. Customers may therefore be required to review and accept the applicable Participating Store’s Rental Terms, Service Terms, or other transaction-specific terms before a Rental Reservation or Service Request is accepted.
Mobility Stock maintains a centralized Product catalog that includes Products of Manufacturers with which Mobility Stock may have listing or content arrangements. Manufacturers may supply Product descriptions, specifications, images, manuals, warranty information, and pricing policies, including minimum advertised price policies, which Mobility Stock may apply to the display of Products and prices on the Platform. A Manufacturer’s Products may be offered only by Participating Stores authorized to offer them. The Participating Stores shown for a Product may therefore vary based on those authorizations, Store inventory, location, selected fulfillment method, delivery or service areas, and other transaction-specific factors.
For purposes of these Terms, the following definitions apply:
“Customer” means an individual or legal entity that accesses, browses, registers for, or otherwise uses the Platform, including to purchase Products, submit Rental Reservations, or submit Service Requests.
“Manufacturer” means the manufacturer, brand owner, or authorized distributor of a Product, including a manufacturer that supplies Product information or pricing policies to Mobility Stock for use on the Platform.
“Mobility Stock Direct” means Products expressly identified through the Platform as being offered directly by Mobility Stock rather than by a Participating Store.
“Participating Store” means an independent business authorized by Mobility Stock to participate in the Platform and offer approved Products, rentals, services, or other mobility-related offerings through its Store Pages.
“Platform” means the Mobility Stock website, applications, software, databases, Store Pages, online services, and related technology operated by Mobility Stock.
“Product” means a new or used product, accessory, replacement part, component, or other item offered for purchase through the Platform.
“Order” means a transaction or request submitted by a Customer through the Platform for the purchase of Products, rental of equipment, or provision of services.
Depending on the type of transaction, an Order may constitute a Product Order, Rental Order, or Service Order.
“Product Order” means an Order submitted by a Customer through the Platform to purchase one or more Products from a Participating Store or, where expressly identified, directly from Mobility Stock through Mobility Stock Direct.
Submission of a Product Order does not constitute acceptance of the sale. A Product Order becomes accepted only when accepted by the seller in accordance with these Terms.
“Rental Order” means an accepted transaction for the rental of equipment from a Participating Store through the Platform.
A Customer may initiate a rental transaction by submitting a Rental Reservation. A Rental Reservation does not become a Rental Order until it is accepted by the applicable Participating Store in accordance with the Participating Store’s applicable Rental Terms and other transaction-specific requirements.
“Rental Reservation” means a request submitted by a Customer through the Platform to rent equipment from a Participating Store. A Rental Reservation does not constitute an accepted rental and does not become a Rental Order until accepted by the applicable Participating Store.
“Rental Terms” means the terms and conditions established by a Participating Store governing equipment rental offered by that Participating Store through the Platform.
“Service Order” means an accepted transaction for services to be provided by a Participating Store through the Platform.
A Customer may initiate a service transaction by submitting a Service Request. A Service Request does not become a Service Order until it is accepted by the applicable Participating Store in accordance with the Participating Store’s applicable Service Terms and other transaction-specific requirements.
“Service Provider” means a Participating Store, Manufacturer, or other person authorized by the applicable Manufacturer or seller to perform repair, maintenance, installation, warranty, or other Product-related services.
“Service Request” means a request submitted by a Customer through the Platform for repair, maintenance, installation, inspection, product support, or another service offered by a Participating Store. A Service Request does not constitute an accepted service transaction and does not become a Service Order until accepted by the applicable Participating Store.
“Service Terms” means the terms and conditions established by a Participating Store governing repair, maintenance, installation, inspection, or other services offered by that Participating Store through the Platform.
“Store Page” means a page or collection of pages within the Platform associated with a Participating Store through which the Participating Store may present information about its business and its Products, Used Products, rentals, services, policies, educational resources, promotions, contact information, and other store-specific information.
“Used Product” means a previously owned, used, refurbished, reconditioned, demonstrator, or other Product offered through the Platform that is identified as not being a new Product.
Certain features of the Platform may require you to create a Customer account. When creating or maintaining an account, you agree to provide accurate, current, and complete information and to update that information when necessary. You are responsible for maintaining the accuracy of the information associated with your account.
Mobility Stock may reject, suspend, restrict, or close an account that contains materially false, misleading, fraudulent, or incomplete information, or that is used in violation of these Terms or applicable law.
You are responsible for maintaining the confidentiality of your account credentials and for taking reasonable measures to prevent unauthorized access to your account. You must notify Mobility Stock as soon as reasonably practicable if you believe your account credentials have been compromised or your account has been accessed or used without authorization.
Mobility Stock may require additional identity verification or implement additional security measures when reasonably necessary to protect Customers, Participating Stores, Mobility Stock, or the Platform, prevent fraud or unauthorized activity, or comply with applicable law.
You are responsible for ensuring that information you submit through the Platform is accurate, complete, and current, including, as applicable, your contact, billing, shipping, delivery, and other transaction-related information.
Inaccurate, incomplete, or outdated information may delay or prevent the processing or fulfillment of a Product Order, Rental Reservation, Rental Order, Service Request, Service Order, refund, warranty request, or other transaction.
You may access and use the Platform only for lawful purposes and in accordance with these Terms and applicable law.
You may not use the Platform in a manner that interferes with or compromises the operation, security, integrity, availability, or lawful use of the Platform or the rights of Mobility Stock, Participating Stores, Customers, or third parties.
When using the Platform, you agree not to:
Mobility Stock may suspend, restrict, or limit access to all or part of the Platform or a Customer account at its discretion when reasonably necessary to protect the security, integrity, or availability of the Platform; investigate suspected fraud, unauthorized activity, security incidents, or violations of these Terms; prevent actual or reasonably suspected harm to Customers, Participating Stores, Mobility Stock, or third parties; comply with applicable law, court orders, governmental requests, or legal process; perform maintenance, upgrades, security improvements, or emergency repairs; or protect Mobility Stock’s legal rights, property, or legitimate business interests.
Where reasonably practicable, Mobility Stock may provide notice of a suspension or restriction and may restore access when the circumstances giving rise to the restriction have been resolved. Mobility Stock is not required to provide advance notice where immediate action is reasonably necessary for security, fraud prevention, legal compliance, or protection of the Platform or its users.
You may discontinue use of the Platform or request closure of your Customer account at any time using the methods made available through the Platform or by contacting Mobility Stock.
Mobility Stock may suspend, terminate, or permanently restrict a Customer account where the Customer materially or repeatedly violates these Terms or applicable policies, engages in fraudulent, deceptive, abusive, or unlawful conduct, threatens the security or operation of the Platform, infringes the legal rights of another person or entity, or otherwise creates material legal, security, financial, or operational risk for Mobility Stock, Participating Stores, or other users.
Where reasonably practicable and appropriate under the circumstances, Mobility Stock may provide notice or an opportunity to address the violation before terminating an account. No advance notice or opportunity to cure is required where immediate action is reasonably necessary to protect the Platform or its users, prevent fraud or harm, or comply with applicable law.
Product information displayed through the Platform may include manufacturer-provided specifications, descriptions, photographs, manuals, brochures, videos, dimensions, compatibility information, technical information, and other Product-related materials.
Mobility Stock may maintain manufacturer-provided Product information for use throughout the Platform to promote consistency and provide Customers with information about Products offered by multiple Participating Stores.
Manufacturer-provided Product information is provided for general informational purposes and may change without notice.
Mobility Stock uses commercially reasonable efforts to maintain accurate Product information but does not warrant that manufacturer-provided information is complete, current, accurate, or free from errors.
Customers should review the applicable Product information and may contact the Participating Store offering the Product, or Mobility Stock where the Product is offered through Mobility Stock Direct, when additional information or clarification is needed before purchasing a Product.
Participating Stores may provide store-specific information through their Store Pages, including pricing, inventory, Product availability, Used Products, rentals, services, promotions, business information, operating hours, delivery or service areas, policies, educational content, photographs, videos, and other store-specific information.
Except for Product information or other content maintained by Mobility Stock, store-specific content is provided by or on behalf of the applicable Participating Store.
The Participating Store is responsible for the accuracy, completeness, and lawfulness of the store-specific content it provides. Mobility Stock may review, correct, restrict, or remove store-specific content where reasonably necessary to operate the Platform, address inaccurate or inappropriate information, protect Customers or third parties, enforce Platform requirements, or comply with applicable law.
Products displayed through the Platform are subject to availability.
Inventory and availability information may change before a Product Order is accepted.
Product availability is confirmed as part of the seller’s review and acceptance of the Product Order.
If a Product becomes unavailable before a Product Order is accepted, the seller may decline the Product Order or, with the Customer’s agreement, offer an alternative Product.
Prices for Products may vary among Participating Stores and may differ based on the seller, Product, location, available options, promotions, or other applicable factors.
The price applicable to a Product Order is the price presented to the Customer when the Product Order is submitted, subject to correction of obvious pricing, typographical, or system errors as permitted by applicable law.
Applicable taxes and any shipping, delivery, installation, or other charges associated with the Product Order will be disclosed during checkout before the Customer submits the Product Order.
Where a Manufacturer’s pricing policy restricts how a price may be advertised, the price of a Product may be displayed only in the cart, at checkout, or upon request. Any such price is established by the seller and is presented to the Customer before the Customer submits the Product Order.
Participating Stores may offer Used Products through their Store Pages.
A Used Product listing must identify the Product as a Used Product or otherwise clearly disclose its applicable condition and provide information regarding that condition. Each Used Product listing will include photographs of the actual Used Product being offered so that Customers can review its visible condition before submitting a Product Order.
Because Used Products may differ in age, condition, appearance, usage, included accessories, remaining manufacturer warranty, and other characteristics, Customers should carefully review the individual Used Product listing before submitting a Product Order.
Return, refund, exchange, and cancellation rights applicable to Used Products are governed by the Returns & Refund Policy and applicable law.
Any warranty applicable to a Used Product will be identified in the Product listing or other applicable transaction documentation. The availability of a warranty should not be assumed unless expressly stated.
Unless a Product listing expressly indicates that photographs depict the actual item being offered, Product photographs, illustrations, renderings, colors, and other visual representations are provided for general reference.
Actual Products may differ from displayed images because of manufacturer updates, production changes, packaging revisions, available options, display settings, lighting conditions, or other reasonable variations.
For Used Products, the photographs displayed to represent the Product’s condition will depict the specific Used Product being offered.
Products offered through the Platform may be covered by a manufacturer’s warranty, a warranty provided by the Participating Store selling the Product, both, or neither, depending on the Product and the seller.
Any warranty offered by a Participating Store is provided by that Participating Store and is independent of Mobility Stock. Applicable warranty information may be described in the Product listing, Store Page, Product Order documentation, manufacturer materials, or other materials provided in connection with the Product.
Where Mobility Stock sells a Product through Mobility Stock Direct, any warranty provided by Mobility Stock will be expressly identified in connection with the applicable Product.
Nothing in this Section limits any warranty rights or remedies that cannot be excluded or limited under applicable law.
Customers are responsible for reviewing applicable Product information, instructions, warnings, and safety information and for using Products in accordance with manufacturer instructions.
Customers should confirm Product suitability, specifications, dimensions, compatibility, and other relevant requirements before purchase and should seek appropriate professional guidance where necessary.
The selection, sizing, fitting, configuration, and clinical suitability of a mobility or medical Product for a particular individual or condition are the responsibility of the Customer in consultation with the Customer’s physician, therapist, or other qualified healthcare professional. Customers must observe Manufacturer weight capacities, usage limitations, operating instructions, and warnings.
Except where Mobility Stock sells a Product through Mobility Stock Direct, Mobility Stock does not assess, and makes no representation regarding, whether a Product is suitable, safe, or medically appropriate for any individual. Where a Participating Store provides a fitting, assessment, configuration, or similar service, that Participating Store is responsible for that service.
Nothing in this Section limits the responsibilities of a Participating Store, Mobility Stock where it sells a Product through Mobility Stock Direct, a manufacturer, or any other party under applicable law.
Mobility Stock provides, on Product listing pages, a clear and conspicuous means for Customers to report suspicious marketplace activity, including suspected counterfeit, stolen, recalled, or unsafe Products.
If a Customer believes that Product information or store-specific content displayed through the Platform is inaccurate, misleading, or otherwise requires correction, the Customer may notify Mobility Stock or the applicable Participating Store.
Mobility Stock may review reported information and, where appropriate, correct, restrict, or remove information displayed through the Platform.
Where required by the INFORM Consumers Act (15 U.S.C. § 45f) or other applicable law, Mobility Stock will disclose to Customers the name, physical address, and contact information of the applicable Participating Store on the Product listing page or in the Product Order confirmation.
Recalls, field corrections, and safety notices relating to a Product are issued and administered by the applicable Manufacturer and, as to Products it sold, by the Participating Store that accepted the Product Order. Customers are encouraged to register Products with the Manufacturer, where registration is available, to receive safety notices directly.
Mobility Stock may, but is not obligated to, display or forward recall or safety information it receives. Displaying or forwarding such information does not make Mobility Stock responsible for administering, funding, or performing a recall, correction, repair, or replacement, except for Products sold through Mobility Stock Direct or as required by applicable law.
If you experience a serious injury or safety incident involving a Product, seek appropriate medical attention and notify the seller that accepted the Product Order. You may also report the incident to the U.S. Food and Drug Administration through its MedWatch program or to the U.S. Consumer Product Safety Commission, as applicable.
Unless a Participating Store expressly states otherwise in connection with a transaction, or applicable law requires otherwise, Products, rentals, and services purchased through the Platform are paid for directly by the Customer, and neither Mobility Stock nor the Participating Store submits the transaction to Medicare, Medicaid, or a private insurer on the Customer’s behalf.
Mobility Stock does not determine, and makes no representation regarding, whether a Product, rental, or service is covered or reimbursable by a government health care program or insurer. Customers who intend to seek reimbursement should confirm coverage requirements, including any prescription or supplier requirements, before submitting an Order.
Prescription products or devices, which federal law restricts to sale by or on the order of a licensed practitioner, are not offered or sold through the Platform. Participating Stores, however, may sell or rent such products or devices directly, outside the Platform, in accordance with applicable laws.
Customers may submit Product Orders through the Platform for Products offered by Participating Stores or through Mobility Stock Direct.
By submitting a Product Order, you represent that the information provided in connection with the Product Order is accurate and complete, that you are authorized to use the selected payment method, and that you have reviewed the Products, quantities, prices, and other transaction information presented before submission.
Submitting a Product Order constitutes a request to purchase the selected Products from the seller identified during checkout and does not, by itself, constitute acceptance of the sale.
After a Product Order is submitted, the Platform may provide an acknowledgement confirming that the Product Order has been received. This acknowledgement does not constitute acceptance of the Product Order.
Before accepting a Product Order, the seller may confirm Product availability and other information reasonably necessary to fulfill the Product Order.
A Product Order is accepted only when the seller confirms acceptance of the Product Order.
If a Product Order cannot be accepted, the Customer will be notified and any applicable payment authorization will be released or cancelled, as appropriate.
The seller may be a Participating Store, or Mobility Stock, where the Product is expressly identified as being offered through Mobility Stock Direct.
Once a Product Order has been accepted, the seller identified for that Product Order is responsible for fulfilling the Product Order in accordance with these Terms, the applicable policies, and applicable law.
Shipping, delivery, and pickup matters are governed by the Shipping & Delivery Policy.
Cancellations, returns, exchanges, and refunds are governed by the Returns & Refund Policy and the terms of the applicable seller disclosed before the transaction.
If the seller becomes unable to fulfill an accepted Product Order as agreed, the seller is responsible for addressing the affected Product Order and communicating any material change to the Customer. Any cancellation, substitution, refund, or other material modification will be handled in accordance with the applicable policies, the Customer’s agreement where required, and applicable law.
By submitting a transaction requiring payment through the Platform, you authorize the applicable payment service provider to authorize the selected payment method for the total amount presented in connection with the transaction.
Payment authorization does not, by itself, constitute acceptance of a Product Order, Rental Reservation, or Service Request.
Payments made through the Platform are processed through third-party payment service providers and may be subject to the applicable provider’s terms and privacy practices.
Mobility Stock does not receive or store complete payment card numbers or card security codes (CVV/CVC).
Applicable taxes and other charges associated with a transaction will be disclosed to the Customer before the transaction is submitted, as required by applicable law.
Where Mobility Stock is required by applicable law to collect and remit sales or use tax as a marketplace facilitator, Mobility Stock may collect that tax on transactions with Participating Stores.
If a material pricing, calculation, or system error is identified before a transaction is accepted, the seller or Participating Store responsible for the transaction, as applicable, may decline the transaction or notify the Customer of the error before proceeding.
The Customer will not be required to proceed with a transaction at a corrected price or charge without the Customer’s agreement. If payment has already been authorized for a transaction that is not accepted, the applicable authorization will be released or cancelled, as appropriate.
Mobility Stock, the applicable Participating Store, or the applicable payment service provider may request additional information or verification where reasonably necessary to prevent fraud, unauthorized transactions, or other misuse of the Platform.
A transaction may be delayed, declined, or cancelled where fraud or unauthorized activity is reasonably suspected or where required by applicable law.
Where financing is made available through the Platform, financing may be provided by an independent third-party financing provider and is subject to that provider’s eligibility requirements, approval, terms, and conditions.
Unless expressly identified otherwise, Mobility Stock is not the lender or financing provider and does not guarantee financing approval.
Equipment rentals made available through the Platform are offered and provided by Participating Stores.
Customers may submit Rental Reservations through the Platform for equipment offered for rental by a Participating Store. Submission of a Rental Reservation does not constitute acceptance of the rental and does not create a Rental Order until the Rental Reservation is accepted by the applicable Participating Store.
Each Participating Store may establish its own Rental Terms governing its rental transactions. These terms may address rental periods, pricing, deposits, payment requirements, equipment use, delivery and pickup, extensions, late returns, damage, loss, cleaning, cancellations, and other rental-specific requirements.
Customers are responsible for reviewing and accepting the applicable Rental Terms presented in connection with a Rental Reservation. Once a Rental Reservation is accepted, the resulting Rental Order is subject to the applicable Participating Store’s Rental Terms.
The Participating Store is responsible for the rental equipment and for the availability, pricing, scheduling, fulfillment, customer support, and other obligations associated with the rental.
Services made available through the Platform, including repair, maintenance, installation, inspection, product support, and other mobility-related services, are offered and provided by Participating Stores.
Customers may submit Service Requests through the Platform for services offered by a Participating Store. Submission of a Service Request does not constitute acceptance of the service and does not create a Service Order until the Service Request is accepted by the applicable Participating Store.
Each Participating Store may establish its own Service Terms governing its service transactions. These terms may address scheduling, estimates, diagnostic charges, approvals, parts, labor, service charges, cancellations, warranties, and other service-specific requirements. Customers are responsible for reviewing and accepting the applicable Service Terms presented in connection with a Service Request. Once a Service Request is accepted, the resulting Service Order is subject to the applicable Participating Store’s Service Terms.
The Participating Store is responsible for the availability, pricing, scheduling, performance, customer support, and other obligations associated with the services it provides.
Mobility Stock provides the Platform through which Customers may discover rental and service offerings and submit Rental Reservations and Service Requests to Participating Stores.
Mobility Stock does not provide rental equipment or perform services offered by Participating Stores and is not responsible for the performance of a Participating Store’s rental or service obligations, except to the extent otherwise required by applicable law.
The Platform, including its software, design, functionality, databases, text, graphics, logos, trademarks, and other content owned or licensed by Mobility Stock (“Platform Content”), is protected by applicable intellectual property and other laws.
Except for the limited right to access and use the Platform in accordance with these Terms, no ownership or other proprietary rights in the Platform or Platform Content are transferred to you.
Subject to these Terms, Mobility Stock grants you a limited, non-exclusive, non-transferable, revocable right to access and use the Platform for lawful personal or internal business purposes related to the services provided through the Platform.
Except as permitted by applicable law or authorized by Mobility Stock, you may not copy, reproduce, modify, distribute, publish, commercially exploit, reverse engineer, scrape, systematically extract data from, or otherwise misuse the Platform or Platform Content.
Product names, trademarks, logos, photographs, manuals, specifications, videos, brochures, and other materials displayed through the Platform may be owned by manufacturers, Participating Stores, licensors, suppliers, or other third parties.
Such materials remain the property of their respective owners and are displayed through the Platform for purposes related to presenting Products, rentals, services, or other information to Customers.
Nothing in these Terms transfers ownership of third-party intellectual property to a Customer.
Customers may submit reviews, ratings, comments, photographs, videos, questions, testimonials, or other content through Platform features that permit such submissions (“Customer Content”).
You retain ownership of Customer Content you submit.
By submitting Customer Content through the Platform, you grant Mobility Stock a worldwide, non-exclusive, royalty-free, perpetual license, sublicensable to Mobility Stock’s service providers and to the Participating Store to which the Customer Content relates, to host, store, reproduce, display, publish, distribute, format, adapt, and use the Customer Content in connection with operating, providing, improving, and promoting the Platform and Mobility Stock.
This license includes the right to use Customer Content, including reviews, ratings, photographs, videos, and testimonials, in Mobility Stock advertising, marketing materials, social media, promotional communications, and other materials used to promote the Platform, its Products, services, or participating businesses.
If Customer Content includes your name, username, photograph, likeness, or voice, you consent to Mobility Stock’s display and use of those attributes together with the Customer Content for the purposes described in this Section. Mobility Stock will not edit Customer Content in a manner that changes its meaning or misrepresents your experience.
You may ask Mobility Stock to stop using your name, photograph, likeness, or voice in new advertising or marketing materials by contacting Mobility Stock, and Mobility Stock will honor that request prospectively.
You represent that you own or otherwise have the rights necessary to submit the Customer Content and to grant the rights described in this Section, and that the submission and permitted use of the Customer Content do not violate applicable law or the rights of another person or entity.
Mobility Stock may remove or restrict Customer Content that violates these Terms, applicable law, the rights of another person or entity, or applicable Platform requirements.
Mobility Stock does not remove or decline to display Customer reviews based on their rating or sentiment. Mobility Stock may remove or decline to display a review that contains confidential or personal information; is unlawful, defamatory, harassing, abusive, obscene, vulgar, sexually explicit, or discriminatory; is unrelated to the Products, rentals, or services offered; is clearly false or misleading; or otherwise violates content standards that Mobility Stock applies uniformly. Nothing in these Terms restricts your right to post an honest review.
If you voluntarily provide Mobility Stock with suggestions, ideas, recommendations, or other feedback concerning the Platform, Mobility Stock may use that feedback without restriction or compensation to you.
If you believe that content displayed through the Platform infringes your copyright, trademark, or other intellectual property rights, you may notify Mobility Stock using the contact information provided through the Platform.
Your notice should provide sufficient information to identify the protected work or right, the material you believe is infringing, where the material appears on the Platform, your contact information, and the basis for your claim.
Mobility Stock may investigate reported intellectual property claims and may remove or restrict access to content where appropriate or required by applicable law.
Notices of claimed copyright infringement should be sent to Mobility Stock’s designated agent under the Digital Millennium Copyright Act (17 U.S.C. § 512): support@mobilitystock.com. A notice must include the information required by 17 U.S.C. § 512(c)(3).
Mobility Stock will, in appropriate circumstances, terminate the accounts of users who are repeat infringers.
The Platform is provided on an “as is” and “as available” basis.
Mobility Stock does not guarantee that the Platform will be available at all times, uninterrupted, error-free, free from all security threats, or compatible with every device, browser, operating system, or internet connection.
Mobility Stock may suspend or limit access to all or part of the Platform where reasonably necessary for maintenance, upgrades, security, legal compliance, or other legitimate operational purposes.
Participating Stores are independent businesses and are responsible for the Products, rentals, and services they provide.
Mobility Stock does not guarantee or assume responsibility for a Participating Store’s Product availability, store-specific pricing, fulfillment, customer support, warranties, rentals, repairs, maintenance, installations, or other store-provided services, except to the extent Mobility Stock expressly assumes responsibility or applicable law provides otherwise.
Claims arising from Products sold or rentals or services provided by a Participating Store should be directed to that Participating Store, except where Mobility Stock has expressly assumed responsibility or applicable law provides otherwise.
Without limiting the foregoing, and except for Products sold through Mobility Stock Direct, Mobility Stock is not responsible for, and disclaims liability arising from: defects in the design, manufacture, labeling, or warnings of any Product; the safety or performance of any Product; any fitting, configuration, installation, repair, or other service performed by a Participating Store or Service Provider; or the suitability of any Product for a particular individual or medical condition, in each case except to the extent such liability cannot lawfully be excluded.
The Platform may use or integrate with independent third-party services, including payment processors, financing providers, shipping carriers, mapping services, communication providers, analytics providers, and other technology or service providers.
Mobility Stock does not control independent third-party services and is not responsible for their acts, omissions, availability, security, functionality, or performance, except to the extent responsibility cannot be excluded under applicable law.
Use of a third-party service may also be subject to that provider’s own terms and privacy practices.
Information available through the Platform, including Product information, educational materials, articles, videos, buying guides, FAQs, and other informational content, is provided for general informational purposes and does not constitute medical, healthcare, legal, financial, insurance, tax, or other professional advice.
Mobility products may not be appropriate for every individual or condition. Customers should consult an appropriately qualified healthcare or other professional when professional guidance is needed in selecting or using a Product or service.
To the fullest extent permitted by applicable law, except as expressly provided in these Terms, Mobility Stock disclaims warranties and representations regarding the Platform, whether express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, and uninterrupted or error-free operation.
This Section concerns warranties relating to Mobility Stock and the Platform and does not eliminate any manufacturer warranty, Participating Store warranty, or other warranty right that applies to a Product or transaction.
Nothing in these Terms excludes or limits any warranty or consumer right that cannot lawfully be excluded or limited.
To the fullest extent permitted by applicable law, Mobility Stock will not be liable for indirect, incidental, consequential, special, exemplary, punitive, or enhanced damages arising out of or relating to the Platform or these Terms, including lost profits, lost revenue, lost business opportunities, loss of goodwill, business interruption, or loss of data.
Except to the extent Mobility Stock expressly assumes responsibility or liability cannot lawfully be excluded or limited, Mobility Stock will not be liable for damages arising from the acts or omissions of a Participating Store, including Products sold or rentals or services provided by that Participating Store.
Nothing in this Section excludes or limits liability that cannot lawfully be excluded or limited.
To the fullest extent permitted by applicable law, where a claim arises from Mobility Stock’s operation or provision of the Platform and does not arise from a Product sold by Mobility Stock through Mobility Stock Direct, Mobility Stock’s aggregate liability for that claim will not exceed One Hundred U.S. Dollars (US $100.00).
Amounts paid by a Customer to a Participating Store for Products, rentals, or services are not amounts paid to Mobility Stock for purposes of determining Mobility Stock’s liability.
Where Mobility Stock sells a Product through Mobility Stock Direct, Mobility Stock’s liability relating to the applicable Product Order will be subject to these Terms and any rights or remedies that cannot be excluded or limited under applicable law.
Nothing in this Section limits or excludes liability that cannot lawfully be limited or excluded.
Mobility Stock will not be liable for delay or failure in performance caused by circumstances beyond its reasonable control, including natural disasters, severe weather, fire, flood, war, terrorism, civil unrest, governmental actions, labor disputes, utility failures, internet or telecommunications outages, cyberattacks, supplier failures, transportation disruptions, or similar events beyond Mobility Stock’s reasonable control.
Nothing in these Terms excludes, limits, or restricts any statutory warranty, consumer protection, remedy, or other right that cannot lawfully be excluded, limited, or waived.
Where applicable law prohibits a limitation contained in these Terms, that limitation will apply only to the maximum extent permitted by law.
To the fullest extent permitted by applicable law, if you have a dispute with a Participating Store, Manufacturer, Service Provider, or other user concerning a Product, rental, or service that was not sold or provided by Mobility Stock, you release Mobility Stock and its affiliates, officers, directors, employees, and agents from claims, demands, and damages arising out of or connected with that dispute.
This release does not apply to claims based on Mobility Stock’s own breach of these Terms, gross negligence, or willful misconduct, or to rights that cannot lawfully be released.
To the fullest extent permitted by applicable law, you agree to indemnify and hold harmless Mobility Stock, its affiliates, officers, directors, employees, contractors, service providers, successors, and assigns from and against third-party claims, demands, actions, liabilities, damages, losses, costs, and reasonable attorneys’ fees arising out of or relating to your acts or omissions in connection with your use of the Platform, including, without limitation:
This indemnification obligation applies only to the extent the applicable claim, liability, loss, or expense results from your acts or omissions and does not apply to the extent caused by Mobility Stock’s gross negligence, willful misconduct, material breach of these Terms, or any matter for which indemnification is prohibited by applicable law.
Mobility Stock will provide reasonably prompt notice of a third-party claim for which indemnification is sought, to the extent reasonably practicable, and will provide reasonable cooperation in connection with the defense of the claim.
No settlement that admits liability on behalf of, or imposes a material obligation upon, Mobility Stock may be entered into without Mobility Stock’s prior written consent, which will not be unreasonably withheld, conditioned, or delayed.
These Terms and any dispute, claim, or controversy arising out of or relating to these Terms or the Customer’s use of the Platform will be governed by and construed in accordance with the laws of the State of Illinois, without regard to its conflict-of-laws principles, except to the extent applicable law requires otherwise.
Any legal action or proceeding arising out of or relating to these Terms or your use of the Platform shall be brought exclusively in the Circuit Court of Cook County, Illinois, or the United States District Court for the Northern District of Illinois, Eastern Division. Each party irrevocably submits to the personal jurisdiction of those courts and waives any objection to venue in those courts, including any objection based on inconvenient forum.
Where a dispute involves Mobility Stock together with one or more Participating Stores or other parties, this Section applies to claims asserted against Mobility Stock to the fullest extent permitted by applicable law. This Section does not establish or determine the governing law, jurisdiction, or venue for a dispute solely between a Customer and a Participating Store in which Mobility Stock is not a party.
Before initiating formal legal proceedings against the other party, the Customer and Mobility Stock agree to make reasonable good-faith efforts to resolve the dispute informally.
The party asserting a claim must first send the other party a written notice describing the claim and the relief sought. The parties will attempt to resolve the dispute informally for forty-five (45) days after the notice is received, and applicable limitations periods are tolled during that period.
A party seeking informal resolution should provide sufficient information regarding the dispute to allow the other party a reasonable opportunity to review and respond.
Nothing in this Section prevents either party from seeking temporary, preliminary, injunctive, or other equitable relief where reasonably necessary to protect legal rights or prevent immediate or irreparable harm.
To the extent permitted by applicable law, the prevailing party in any legal action or proceeding arising out of or relating to these Terms or your use of the Platform is entitled to recover from the non-prevailing party all reasonable attorneys' fees, costs, and expenses it incurs in connection with the dispute, whether incurred before or after the action is filed, including fees and costs incurred before suit, costs of investigating the claim, preparing and sending demand or notice letters, and participating in the good-faith resolution process under Section 11.3; court costs, filing and service fees, fees and expenses of expert witnesses, consultants, and investigators, and other litigation costs; as well as fees and costs incurred in any appeal, in any bankruptcy or insolvency proceeding, and in enforcing or collecting any judgment or award. The “prevailing party” is the party the court determines has substantially prevailed on the material claims or defenses, whether by judgment, dismissal, or settlement. A party against whom claims are voluntarily dismissed with prejudice is the prevailing party as to those claims.
Nothing in this Section limits any right to attorneys’ fees, costs, or other remedies provided by applicable law.
These Terms, together with the policies and transaction-specific terms incorporated by reference as applicable, constitute the agreement between you and Mobility Stock concerning your use of the Platform and supersede prior or contemporaneous communications or understandings concerning the same subject matter.
Terms and conditions established by a Participating Store for its rentals, services, or other store-specific transactions form part of the applicable transaction between the Customer and that Participating Store and do not modify Mobility Stock’s obligations under these Terms unless Mobility Stock expressly agrees otherwise.
If any provision of these Terms is determined by a court of competent jurisdiction to be invalid, illegal, or unenforceable, that provision will be enforced to the maximum extent permitted by applicable law, and the remaining provisions will remain in full force and effect.
A failure or delay by Mobility Stock in exercising a right or remedy under these Terms does not constitute a waiver of that right or remedy.
A waiver of any breach or provision does not constitute a waiver of any subsequent breach or of any other provision.
You may not assign, delegate, or otherwise transfer your rights or obligations under these Terms, in whole or in part, whether voluntarily, by operation of law, or otherwise, without Mobility Stock's prior written consent, which may be withheld at its reasonable discretion. Any attempted assignment, delegation, or transfer in violation of this Section is null and void. Mobility Stock's consent to one assignment is not consent to any other assignment.
Mobility Stock may assign or transfer these Terms, in whole or in part, to an affiliate or successor, or in connection with a merger, acquisition, corporate restructuring, financing, or sale or transfer of all or substantially all of the Platform or related business or assets.
By using the Platform, you consent to receive notices and communications relating to your account, Product Orders, Rental Reservations, Rental Orders, Service Requests, Service Orders, payments, security, customer support, and other Platform transactions or operations electronically, including through the Platform or using the contact information associated with your account or transaction.
Electronic notices, disclosures, agreements, and other communications satisfy any legal requirement that such communications be in writing to the fullest extent permitted by applicable law.
Marketing and promotional communications are subject to applicable law and the communication preferences and choices made available to you.
Provisions of these Terms that by their nature are intended to survive termination, account closure, or discontinuation of use of the Platform will remain effective to the extent permitted by applicable law, including provisions concerning intellectual property, payment obligations, disclaimers, limitations of liability, indemnification, governing law, and dispute resolution.
Unless the context requires otherwise, words in the singular include the plural and vice versa, and the terms “including,” “includes,” and “include” mean “including without limitation.”
Headings are provided for convenience only and do not affect the interpretation of these Terms.
References to applicable law include applicable amendments, successor laws, rules, and regulations.
